Dear Key3Media Exhibitor and Partner:

We are pleased to share with you the exciting news that we successfully completed our reorganization and today emerged from bankruptcy a financially strong, fully funded company. All our conferences and tradeshows are continuing as planned, and we look forward to continuing to provide you the highest quality service.

With our successful reorganization behind us, we are now well positioned with the full financial and strategic support of our new owners, Thomas Weisel Capital Partners. We have a strong portfolio of brands, a large high caliber client base, talented workforce and a leading market position. Most importantly, we now have greater resources and more flexibility to meet your evolving needs in today and tomorrow global IT marketplace.

As we begin a new chapter, we are taking a number of steps to reposition the Company to ensure we are meeting your evolving needs. Given the changing market forces and new dynamics between IT buyers and vendors, we plan to build on our strength in traditional conferences and tradeshows to begin providing market-driven forums where we bring IT buyers and vendors face-to-face in more action-oriented (i.e. purchasing) environments. We believe that our vast experience working with both vendors and buyers and our unparalleled expertise in hosting shows uniquely positions us to pioneer this new tradeshow format.

To help facilitate our new positioning, we are making a few key changes. First, we are launching an exciting new brand for the company. Starting today, Key3Media will be named Medialive International Inc. to reflect the Company broad portfolio of services, which include magazines, consulting, newsletters and Internet operations, in addition to our events. Secondly, we plan to move the Company headquarters to San Francisco to be closer to our core customer base. We will maintain domestic offices in Chicago, Boston, Los Angeles and Media (PA). Our international headquarters will be based in London, with satellite offices in Paris, Beijing, Sweden and Tokyo and Toronto. And finally, we have restructured our business management team to take advantage of each manager strengths. The team includes:

Robert Priest-Heck, Chief Executive Officer
Mike Millikin, Senior Vice President, COMDEX, NetWorld+Interop, BioSecurity
Sherry Huss, Senior Vice President, Seybold Seminars, Java One, Studios, Global Solutions Marketing Group
Jerry Goldstone, President and Founder, Business Communications Review
Kim Myhre, President, International
Michael Liacko, Senior Vice President, Corporate Sales

We are confident that Medialive has a bright future as a leader in the global IT marketplace, and we hope we can count on your continued commitment to the Company. We look forward to providing you [additional information] on the developments at Medialive [and will contact you in the coming days]. In the meantime, please do not hesitate to call me with any questions or visit our web site www.key3media.com

Sincerely,

Robert Priest-Heck Chief Executive Officer
